His activity is largely international, with frequent involvements in cross-border transactions and matters and the representation of foreign clients.

Corporate / M&A

Assistance in shares and assets acquisitions and disposals from letter of offer through execution, also in the context of private equity and venture capital transactions.

Assistance in corporate restructurings, equity and debt securities transactions, acquisition finance and other corporate finance matters.

Advice on shareholders’ arrangements, corporate governance and internal controls, liability of directors and internal auditors, lawfulness of corporate resolutions and transactions, directors’ service agreements and incentive schemes, the establishment of joint ventures and other cooperation arrangements between business organizations.

Assistance in acquisitions of assets from businesses under insolvency arrangements or procedures, including handling any ensuing insolvency related litigation.

Real Estate

Assistance in the development of touristic and residential properties, the disposal of large industrial properties, the long term lease of resorts, the acquisition and disposal of retail spaces in shopping malls and prime commercial areas in major Italian cities and abroad.


Assistance in the drafting of commercial distribution agreements and other business contracts.


Representation of Clients in corporate and business disputes and litigation before ordinary courts and arbitration tribunals.


After being a partner from 1993 through 2005 at a prominent Milan law firm, where he had primary responsibility in the area of corporate law and M&A, in 2006 he co-founded Scorcelli, Rosa & Partners.

He had previously practiced for about two years in New York in the corporate department of Willkie Farr & Gallagher.
